1. Definitions

“First Party” refers to The Edit by Two (Organizer).
“Second Party” refers to the Exhibitor.
“Event” refers to the pop-up exhibition organized by the First Party.
“Booth” refers to the allocated exhibition space (2-meter or 3-meter).
“POS System” refers to the official sales system operated by the First Party (Shopify POS or equivalent).
“Net Sales” refers to total sales excluding VAT, after deducting approved discounts, refunds, and cancellations.

2. Booking & Payment

2.1 A booth booking is confirmed only upon full or partial payment via the First Party’s approved platform (including Shopify or direct invoice).

2.2 The First Party reserves the right to cancel any booking that is not fully paid within the agreed timeframe.

2.3 All payments are non-refundable except where explicitly stated in this agreement.

3. Booth Packages, Sales Models & Operational Structure

3.1 Mandatory Sales System

3.1.1 All sales conducted during the Event must be processed exclusively through the First Party’s POS System.

3.1.2 The Second Party is strictly prohibited from processing payments outside the official POS system, including but not limited to cash, external POS systems, bank transfers, or third-party payment links, unless expressly approved in writing by the First Party.

3.2 Fixed Rent Model

3.2.1 The Second Party pays a fixed booth fee based on selected booth size (2m or 3m).

3.2.2 In addition, the Second Party shall pay a sales operations fee of AED 90 per day for the duration of the Event.

3.2.3 No commission shall be charged on sales under this model.

3.3 Revenue Share Model

3.3.1 The Second Party pays a reduced booth fee based on selected booth size (2m or 3m).

3.3.2 The First Party shall be entitled to 20% of Net Sales generated during the Event.

3.3.3 Net Sales shall be calculated excluding VAT and after deductions for approved discounts, refunds, and cancellations.

3.3.4 Settlement of remaining amounts shall be made within the post-event settlement period defined by the First Party.

3.4 Finality of Selection

3.4.1 The selected booth type and sales model are final upon confirmation and cannot be changed after booking.

4. Responsibilities of the First Party (Organizer)

4.1 Prepare and deliver the rented booth space according to selected booth size, including standard setup elements such as tables, chairs, and basic structure.

4.2 Provide operational support and reasonable assistance throughout the Event.

4.3 Allocate booth locations based on event design, traffic flow, and operational requirements at its sole discretion.

4.4 Make reasonable efforts to ensure smooth execution of the Event but does not guarantee sales performance.

5. Responsibilities of the Second Party (Exhibitor)

5.1 Maintain the booth and all provided equipment in good condition.

5.2 Use the space strictly for agreed commercial purposes.

5.3 Not modify booth structure without prior approval from the First Party.

5.4 Be responsible for any damage or loss caused by negligence or misuse.

5.5 Ensure compliance with UAE laws, including product legality and trading requirements.

5.6 Ensure booth is staffed during all operational hours of the Event.

6. Add-ons & Additional Services

6.1 The Second Party may purchase additional services such as marketing exposure, premium placement, branding, or extra equipment.

6.2 All add-ons are subject to availability and are non-refundable once confirmed.

7. Liability

7.1 The First Party is not responsible for loss, theft, or damage to Exhibitor goods or property.

7.2 The Second Party participates at its own risk and is responsible for insuring its goods if required.

7.3 The First Party is not liable for injury, loss, or damages occurring during the Event unless caused by gross negligence.

8. Cancellation by the First Party

8.1 If the Event is cancelled with at least 30 days’ notice, all payments will be refunded.

8.2 The First Party is not liable for cancellations due to force majeure or circumstances beyond its control.

9. Cancellation by the Second Party

9.1 Cancellation 30–16 days before Event: 50% refund of booth fee.
9.2 Cancellation within 15 days: No refund.
9.3 No-show or breach of contract: No refund.
9.4 Add-ons are non-refundable in all cases.

10. Fees & Payment Terms

10.1 Booth fees may be split into instalments or paid in full via Shopify or invoice.

10.2 Full payment is required before Event access is granted.

10.3 The First Party reserves the right to deny entry if payment obligations are not met.

11. Breach of Agreement

11.1 Any violation of the POS requirement or payment bypass attempts constitutes a material breach.

11.2 The First Party reserves the right to immediately suspend or remove the Exhibitor without refund.

12. Intellectual Property & Media Rights

12.1 The First Party reserves the right to use photos, videos, and content from the Event for marketing and promotional purposes.

12.2 The Exhibitor consents to such usage upon participation.

13. General Terms

13.1 This agreement is binding upon booking confirmation.
13.2 The First Party reserves the right to amend operational rules for the success of the Event.
13.3 Any disputes shall be resolved under applicable UAE laws.
